This is a plain-language template of the terms Kudigrain's marketplace and wallet features are designed around. It should be reviewed and finalized by qualified legal counsel — together with the settlement bank partner's own terms — before it governs real trades and real money.
By creating a Kudigrain account or using the platform, you agree to these Terms of Service and our Privacy Policy. If you're acting on behalf of an organization (a cooperative, buyer, warehouse, or logistics company), you confirm you're authorized to bind that organization to these terms.
You must be at least 18 years old and complete identity verification (KYC for individuals, KYB for organizations) appropriate to your KYC level before you can fund a wallet, place an order, or accept one. Higher transaction limits require higher verification levels, set out in your account settings.
Kudigrain is a marketplace and escrow-orchestration layer connecting farmers, cooperatives, warehouses, and buyers. Kudigrain is not a bank. Wallet funds are held and moved through a licensed banking/payment settlement partner under its own regulatory framework — Kudigrain's role is to record the trade, hold funds in escrow against agreed conditions, and release them once those conditions are met.
Sellers are responsible for the accuracy of their listings — commodity, grade, quantity, and location — and for delivering what was agreed. Buyers are responsible for reviewing listing details and terms before ordering. Kudigrain is not a party to the underlying trade between buyer and seller.
Listing prices are set by sellers and are never automatically adjusted by Kudigrain. Published market reference prices are informational — based on Kudigrain's own verified trades and, where available, external sources — and do not set or cap what a seller may list at, or what a buyer may offer.
If a delivered order doesn't match what was agreed, you can raise a dispute during the inspection window — funds stay held in escrow while Kudigrain reviews it. A dispute may resolve in a full release to the seller, a full refund to the buyer, a partial split, or a replacement, at Kudigrain's reasonable discretion based on the evidence provided by both parties.
We may suspend or close an account that violates these terms, fails verification, or poses a fraud or compliance risk — with funds already legitimately owed to you paid out subject to any open disputes or legal holds.
Kudigrain provides the marketplace, escrow orchestration, and audit trail described above on an "as-is" basis. To the fullest extent permitted by law, Kudigrain is not liable for losses arising from a counterparty's failure to deliver, misrepresent, or perform under a trade — that liability sits with the parties to the trade, subject to our dispute resolution process.
These terms are governed by the laws of the Federal Republic of Nigeria.
We'll update the "last updated" date above when these terms change, and notify you of material changes before they take effect.
